1. FOUNDING SUPPLIER COMMISSION

As part of the launch of TryBookAfrica, eligible Suppliers may participate in the TryBookAfrica Founding Supplier Programme.

The applicable commission for Founding Suppliers (defined as the first 1000 suppliers to on-board with TryBookAfrica across the following business types: accommodation, food & drink, experiences & activities, attractions & destinations and travel services) shall be:

8% of the Gross Booking Value per completed Booking (Accommodation) and;

5% of the Gross Booking Value per completed Booking (Food & drink, experiences & activities, attractions & destinations and travel services).

The Founding Supplier commission will apply for the first 12 months from the Supplier's activation date, unless a different rate or period is agreed in writing.

2. STANDARD COMMISSION

Following the Founding Supplier period, the standard TryBookAfrica commission shall be:

11% of the Gross Booking Value per completed Booking (Accommodation) and;

8% of the Gross Booking Value per completed Booking (Food & drink, experiences & activities, attractions & destinations and travel services).

TryBookAfrica may provide promotional, strategic or volume-based commission rates to selected Suppliers.

3. VOLUME AND STRATEGIC SUPPLIERS

Suppliers generating significant Booking volumes may qualify for an individually negotiated commission.

Depending on volume, strategic importance, destination coverage and other commercial factors, the commission may be negotiated within a range of:

8%–10% for suppliers within accommodation; and 5%–7% for suppliers within food & drink, experiences & activities, attractions & destinations and travel services.

Any negotiated rate must be recorded in the Supplier's commercial agreement or Supplier account.

4. NO JOINING FEE

Unless expressly agreed otherwise, TryBookAfrica will not charge Founding Suppliers:

  • a joining fee;

  • a registration fee;

  • a listing fee; or

  • a monthly subscription fee.

5. PAYMENT PROCESSING

Payment-processing costs incurred through an external payment provider may apply.

Where such costs are passed to the Supplier, the applicable amount or calculation method will be disclosed before the Supplier becomes bound by the relevant commercial arrangement.

6. VAT

Where TryBookAfrica is legally required to charge VAT on its commission or other services, VAT will be charged at the applicable statutory rate.

The Supplier remains responsible for its own VAT, tax and other statutory obligations.

7. COMMISSION CALCULATION

Unless otherwise agreed, commission is calculated on the applicable Gross Booking Value.

The commercial schedule should specify whether the following are included or excluded from the commission calculation:

  • VAT;

  • tourism levies;

  • conservation fees;

  • government taxes;

  • mandatory third-party charges;

  • optional extras;

  • discounts;

  • refunds;

  • cancellations; and

  • payment-processing charges.

8. CANCELLATIONS

Where a Booking is cancelled, the commission treatment will depend on the applicable cancellation policy and the reason for cancellation.

TryBookAfrica may charge commission on cancellation fees actually retained by the Supplier where this is expressly provided for in the applicable commercial agreement.

9. REFUNDS

Where a Traveller receives a refund, the corresponding commission will be adjusted where applicable.

10. CHARGEBACKS

Where a payment is reversed or charged back, TryBookAfrica may recover the applicable amount from the Supplier where the chargeback relates to the Supplier's services or conduct.

11. SUPPLIER PAYOUT

The Supplier payout will generally be calculated as:

Gross Booking Value

less TryBookAfrica Commission

less applicable refunds/chargebacks

less agreed payment-processing charges

less other expressly agreed deductions

= Net Supplier Payout

12. COMMERCIAL TRANSPARENCY

TryBookAfrica will display or communicate the applicable commission and material charges to the Supplier before they become applicable.

13. CHANGES TO COMMISSION

TryBookAfrica may change its standard commission structure by giving Suppliers reasonable advance notice.

Any change will not retrospectively alter the commission applicable to a Booking already confirmed unless otherwise agreed or required by law.

14. FOUNDING SUPPLIER STATUS

TryBookAfrica may designate qualifying early Suppliers as Founding Suppliers.

Founding Supplier status may provide preferential commercial terms during the launch period (six-month period commencing on the official public launch date of the TryBookAfrica platform).

15. COMPETITIVE POSITIONING

TryBookAfrica's initial commission structure is designed to support Supplier acquisition and the development of Africa's verified tourism marketplace.

TryBookAfrica may review its commission structure as the Platform grows, taking into account Booking volumes, technology costs, payment costs, marketing expenditure, Supplier value and competitive conditions.
